1. Scope & Provider

These Terms of Service ("Terms") govern your use of the Agnosphere platform ("Platform"), a SaaS application for AI-powered research intelligence and outreach campaign generation, operated by:

By creating an account or using the Platform, you agree to these Terms. If you do not agree, you may not use the Platform.

The Platform is offered exclusively to businesses and professionals (Unternehmer im Sinne des § 14 BGB). By using the Platform, you confirm that you are acting in the exercise of your commercial or professional activity.

2. Account Terms

• Access to the Platform is by invitation only. Accounts are created either through a shared join link provided by your organization or by manual provisioning by a platform administrator.
• Each user may hold one account and belong to one organization at a time.
• Accounts are personal and non-transferable. You are responsible for maintaining the confidentiality of your login credentials.
• You must provide accurate and complete information when creating your account and keep it up to date.
• You must notify us immediately if you suspect unauthorized access to your account.

3. Service Description

The Platform provides AI-powered tools for private equity and investment professionals, including:

• Research Intelligence: AI-generated market research reports powered by third-party AI models (including Google Gemini, OpenAI, and Anthropic Claude).
• Reachout Campaigns: AI-generated personalized outreach emails with web research on target companies, powered by third-party AI models with web research capabilities.
• Expert Chat: AI-powered conversational assistants with domain expertise for interactive analysis and follow-up questions.

Available tools and features may vary based on your organization's subscription and configuration.

4. Credit System

• Tool usage on the Platform is metered through a credit system. Each tool execution consumes credits as configured by the platform.
• Each user is assigned a service tier by their organization administrator. Each tier provides a periodic credit allocation that resets automatically at the beginning of each billing cycle.
• Unused credits do not carry over between billing cycles.
• If your credit balance is insufficient, tool executions will be declined until your credits reset.
• Tier assignments and credit allocations are managed by organization administrators.
• Credits are non-transferable between users or organizations and non-refundable unless otherwise agreed in writing.

5. AI-Generated Content Disclaimer

All AI-generated content is provided "as is" without any warranty of accuracy, completeness, or fitness for a particular purpose.

• AI-generated research reports and emails may contain inaccuracies, outdated information, or errors.
• You are solely responsible for reviewing, verifying, and editing all AI-generated content before use.
• AI-generated content should not be relied upon for legal, financial, regulatory, or other binding decisions without independent professional verification.
• Agnosphere does not guarantee the factual accuracy of any AI-generated output.

6. Intellectual Property

• Your inputs: You retain ownership of all data and content you submit to the Platform (e.g., company names, industry parameters, email templates).
• AI outputs: You are granted a non-exclusive, worldwide license to use, modify, and distribute AI-generated outputs for your business purposes, subject to applicable law.
• Platform IP: The Platform, its source code, design, documentation, and all associated intellectual property remain the exclusive property of Agnosphere GmbH. These Terms do not grant you any rights to Agnosphere's intellectual property beyond the right to use the Platform as described herein.

7. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Platform, other users' accounts, or our systems.
• Use the Platform to generate spam, phishing content, misleading communications, or any content intended to deceive or harm.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform.
• Circumvent or attempt to circumvent usage limits, rate limits, credit restrictions, or other technical controls.
• Share, resell, or sublicense access to the Platform or AI-generated outputs in a manner that competes with Agnosphere's services.
• Submit inputs designed to manipulate or exploit the AI models (prompt injection).

8. Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.

Where required, a Data Processing Agreement (DPA) will be entered into between Agnosphere and the contracting organization in accordance with Art. 28 GDPR.

9. Availability

We strive to maintain high availability of the Platform, but do not guarantee uninterrupted or error-free service. The Platform is provided on a best-effort basis. Scheduled maintenance and updates may cause temporary unavailability.

Specific service level commitments, if any, are governed by the separate service agreement between Agnosphere and your organization and are not part of these Terms.

10. Limitation of Liability

• To the maximum extent permitted by law, Agnosphere's total liability arising from or related to these Terms or your use of the Platform shall not exceed the total fees paid by your organization in the twelve (12) months preceding the claim.
• Agnosphere shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
• The above limitations do not apply to liability for damages arising from intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit), injury to life, body, or health, or any other liability that cannot be limited or excluded under German law.

11. Termination

• Agnosphere may suspend or terminate your access to the Platform immediately if you materially violate these Terms.
• Organization-level termination and data retention are governed by the service agreement between Agnosphere and the contracting organization.
• Upon termination, your right to access the Platform ceases immediately. Agnosphere may retain data as required by law or as described in our Privacy Policy.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice to registered users via email or in-platform notification. Continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes.

13. Governing Law & Jurisdiction

• These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
• The exclusive place of jurisdiction for all disputes arising from or relating to these Terms is Munich, Germany, to the extent permitted by law.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that most closely approximates the economic purpose of the original.

Allgemeine Nutzungsbedingungen

1. Geltungsbereich & Anbieter

Diese Allgemeinen Nutzungsbedingungen ("Nutzungsbedingungen") regeln Ihre Nutzung der Agnosphere-Plattform ("Plattform"), einer SaaS-Anwendung für KI-gestützte Research Intelligence und Outreach-Kampagnengenerierung, betrieben von:

Mit der Erstellung eines Kontos oder der Nutzung der Plattform stimmen Sie diesen Nutzungsbedingungen zu. Wenn Sie nicht zustimmen, dürfen Sie die Plattform nicht nutzen.

Die Plattform richtet sich ausschließlich an Unternehmer im Sinne des § 14 BGB. Mit der Nutzung der Plattform bestätigen Sie, dass Sie im Rahmen Ihrer gewerblichen oder beruflichen Tätigkeit handeln.

2. Kontobedingungen

• Der Zugang zur Plattform erfolgt nur auf Einladung. Konten werden entweder über einen von Ihrer Organisation bereitgestellten Beitrittslink oder durch manuelle Einrichtung durch einen Plattformadministrator erstellt.
• Jeder Nutzer darf ein Konto besitzen und einer Organisation angehören.
• Konten sind persönlich und nicht übertragbar. Sie sind für die Wahrung der Vertraulichkeit Ihrer Zugangsdaten verantwortlich.
• Sie müssen bei der Kontoerstellung korrekte und vollständige Angaben machen und diese aktuell halten.
• Sie müssen uns unverzüglich benachrichtigen, wenn Sie einen unbefugten Zugriff auf Ihr Konto vermuten.

3. Leistungsbeschreibung

Die Plattform bietet KI-gestützte Tools für Private-Equity- und Investment-Fachleute, darunter:

• Research Intelligence: KI-generierte Marktforschungsberichte auf Basis von KI-Modellen von Drittanbietern (darunter Google Gemini, OpenAI und Anthropic Claude).
• Reachout Campaigns: KI-generierte personalisierte Outreach-E-Mails mit Webrecherche zu Zielunternehmen, auf Basis von KI-Modellen von Drittanbietern mit Webrecherche-Fähigkeiten.
• Expert Chat: KI-gestützte Gesprächsassistenten mit Fachexpertise für interaktive Analysen und Rückfragen.

Die verfügbaren Tools und Funktionen können je nach Abonnement und Konfiguration Ihrer Organisation variieren.

4. Credit-System

• Die Tool-Nutzung auf der Plattform wird über ein Credit-System abgerechnet. Jede Tool-Ausführung verbraucht Credits gemäß der Plattformkonfiguration.
• Jedem Nutzer wird von seinem Organisationsadministrator eine Service-Stufe zugewiesen. Jede Stufe umfasst ein periodisches Credit-Kontingent, das zu Beginn jedes Abrechnungszyklus automatisch zurückgesetzt wird.
• Nicht verbrauchte Credits werden nicht in den nächsten Abrechnungszyklus übertragen.
• Bei unzureichendem Credit-Guthaben werden Tool-Ausführungen abgelehnt, bis Ihre Credits zurückgesetzt werden.
• Stufenzuweisungen und Credit-Kontingente werden von Organisationsadministratoren verwaltet.
• Credits sind nicht zwischen Nutzern oder Organisationen übertragbar und nicht erstattungsfähig, sofern nicht schriftlich anders vereinbart.

5. Haftungsausschluss für KI-generierte Inhalte

Alle KI-generierten Inhalte werden ohne Gewähr für Richtigkeit, Vollständigkeit oder Eignung für einen bestimmten Zweck bereitgestellt.

• KI-generierte Forschungsberichte und E-Mails können Ungenauigkeiten, veraltete Informationen oder Fehler enthalten.
• Sie sind allein dafür verantwortlich, alle KI-generierten Inhalte vor der Verwendung zu überprüfen, zu verifizieren und zu bearbeiten.
• KI-generierte Inhalte sollten nicht ohne unabhängige professionelle Überprüfung für rechtliche, finanzielle, regulatorische oder sonstige verbindliche Entscheidungen herangezogen werden.
• Agnosphere garantiert nicht die sachliche Richtigkeit von KI-generierten Ergebnissen.

6. Geistiges Eigentum

• Ihre Eingaben: Sie behalten das Eigentum an allen Daten und Inhalten, die Sie an die Plattform übermitteln (z.B. Firmennamen, Branchenparameter, E-Mail-Vorlagen).
• KI-Ergebnisse: Ihnen wird eine nicht-exklusive, weltweite Lizenz zur Nutzung, Bearbeitung und Verbreitung der KI-generierten Ergebnisse für Ihre geschäftlichen Zwecke gewährt, vorbehaltlich geltenden Rechts.
• Plattform-IP: Die Plattform, ihr Quellcode, Design, Dokumentation und alle zugehörigen geistigen Eigentumsrechte verbleiben ausschließlich bei der Agnosphere GmbH. Diese Nutzungsbedingungen gewähren Ihnen keine Rechte am geistigen Eigentum von Agnosphere über das Recht zur Nutzung der Plattform wie hierin beschrieben hinaus.

7. Akzeptable Nutzung

Sie verpflichten sich, Folgendes zu unterlassen:

• Nutzung der Plattform für rechtswidrige Zwecke oder unter Verstoß gegen geltende Gesetze oder Vorschriften.
• Versuch, unbefugten Zugriff auf Teile der Plattform, Konten anderer Nutzer oder unsere Systeme zu erlangen.
• Nutzung der Plattform zur Erstellung von Spam, Phishing-Inhalten, irreführenden Kommunikationen oder Inhalten, die zur Täuschung oder Schädigung bestimmt sind.
• Reverse Engineering, Dekompilierung, Disassemblierung oder sonstige Versuche, den Quellcode der Plattform zu ermitteln.
• Umgehung oder Versuch der Umgehung von Nutzungslimits, Rate-Limits, Credit-Beschränkungen oder anderen technischen Kontrollen.
• Weitergabe, Weiterverkauf oder Unterlizenzierung des Zugangs zur Plattform oder zu KI-generierten Ergebnissen in einer Weise, die mit den Diensten von Agnosphere konkurriert.
• Übermittlung von Eingaben, die darauf abzielen, die KI-Modelle zu manipulieren oder auszunutzen (Prompt Injection).

8. Datenschutz

Unsere Erhebung und Nutzung personenbezogener Daten wird durch unsere Datenschutzerklärung geregelt, die Bestandteil dieser Nutzungsbedingungen ist. Mit der Nutzung der Plattform bestätigen Sie, dass Sie unsere Datenschutzerklärung gelesen und verstanden haben.

Sofern erforderlich, wird zwischen Agnosphere und der beauftragenden Organisation ein Auftragsverarbeitungsvertrag (AVV) gemäß Art. 28 DSGVO abgeschlossen.

9. Verfügbarkeit

Wir bemühen uns, eine hohe Verfügbarkeit der Plattform sicherzustellen, garantieren jedoch keinen unterbrechungsfreien oder fehlerfreien Dienst. Die Plattform wird auf Best-Effort-Basis bereitgestellt. Geplante Wartungsarbeiten und Updates können zu vorübergehender Nichtverfügbarkeit führen.

Spezifische Service-Level-Zusagen, sofern vorhanden, werden durch den separaten Servicevertrag zwischen Agnosphere und Ihrer Organisation geregelt und sind nicht Bestandteil dieser Nutzungsbedingungen.

10. Haftungsbeschränkung

• Die Gesamthaftung von Agnosphere aus oder im Zusammenhang mit diesen Nutzungsbedingungen oder Ihrer Nutzung der Plattform ist, soweit gesetzlich zulässig, auf die Gesamtgebühren beschränkt, die Ihre Organisation in den zwölf (12) Monaten vor der Geltendmachung des Anspruchs gezahlt hat.
• Agnosphere haftet nicht für mittelbare Schäden, Folgeschäden, entgangenen Gewinn, Datenverlust, entgangene Geschäftsmöglichkeiten oder Reputationsschäden.
• Die vorstehenden Beschränkungen gelten nicht für die Haftung aus Vorsatz oder grober Fahrlässigkeit, für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit sowie für sonstige Haftungstatbestände, die nach deutschem Recht nicht beschränkt oder ausgeschlossen werden können.

11. Kündigung

• Agnosphere kann Ihren Zugang zur Plattform sofort aussetzen oder kündigen, wenn Sie wesentlich gegen diese Nutzungsbedingungen verstoßen.
• Die Kündigung auf Organisationsebene und die Datenaufbewahrung werden durch den Servicevertrag zwischen Agnosphere und der beauftragenden Organisation geregelt.
• Nach der Kündigung erlischt Ihr Recht auf Zugang zur Plattform sofort. Agnosphere kann Daten wie gesetzlich vorgeschrieben oder in unserer Datenschutzerklärung beschrieben aufbewahren.

12. Änderungen dieser Nutzungsbedingungen

Wir behalten uns das Recht vor, diese Nutzungsbedingungen jederzeit zu ändern. Bei wesentlichen Änderungen informieren wir registrierte Nutzer mindestens 30 Tage im Voraus per E-Mail oder Benachrichtigung auf der Plattform. Die fortgesetzte Nutzung der Plattform nach dem Wirksamkeitsdatum der geänderten Nutzungsbedingungen gilt als Ihr Einverständnis mit den Änderungen.

13. Anwendbares Recht & Gerichtsstand

• Diese Nutzungsbedingungen unterliegen dem Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts (CISG).
• Ausschließlicher Gerichtsstand für alle Streitigkeiten aus oder im Zusammenhang mit diesen Nutzungsbedingungen ist, soweit gesetzlich zulässig, München, Deutschland.

14. Salvatorische Klausel

Sollte eine Bestimmung dieser Nutzungsbedingungen unwirksam oder undurchsetzbar sein, bleiben die übrigen Bestimmungen in vollem Umfang wirksam. Die unwirksame oder undurchsetzbare Bestimmung wird durch eine wirksame Bestimmung ersetzt, die dem wirtschaftlichen Zweck der ursprünglichen Bestimmung am nächsten kommt.
